Conditions for cooperation between professionals

AGREEMENT

As a partner of Care by Nature, you agree to the following general terms and conditions:

Care by Nature reserves the right to update and change the Terms of Service from time to time without prior notice. New features that expand or improve the current program are again subject to the same conditions. By continuing to use the partner program, you implicitly consent to these changes.

Violation of any of the terms below will result in the termination of your account forfeiting any outstanding commissions. You agree to use the affiliate program at your own risk.

Terms and Conditions

1. You must be 18 years or older to participate in this program.
2. You must live in the Netherlands.
3. You must provide your legal full name, a valid email address, and any other information requested to complete the registration process.
4. Your login can only be used by one person.
5. You are responsible for maintaining the security of your account and password. Care By Nature cannot and will not be liable for any loss or damage arising from your failure to comply with this safety obligation.
6. You are responsible for all orders and activities that occur under your account.
7. One person or legal entity may not maintain more than one account.
8. You may not use the affiliate program for any illegal or unauthorized purpose. You may not, in the use of the Service, violate any laws in your jurisdiction.

Links/images on your site, in your emails or other communications

Once you have signed up for the affiliate program, you will be assigned a unique affiliate code. You may place links, banners, or other images that we provide with your affiliate code on your site, in your emails, or in other communications. We will provide you with guidelines and graphic artwork. We may change the artwork design at any time without notice, but we will not change the dimensions of the images without notice.

To allow for accurate tracking, reporting and referral fees, we provide special links to be used in all links between your site and the Care By Nature site. You must ensure that any links between your site and the Care By Nature site use such a dedicated link. You only earn loyalty points on a Care By Nature product that is ordered directly via such a link. We are not liable for the use of incorrect links.

Affiliate links must point to the page of the product being featured.

Reward points and payout

To qualify for reward points, the customer must click on a special link from your site, from your email or other communication to the Care By Nature site and order a product during that session.

We will only award reward points on links that are automatically tracked and reported by our systems.

We reserve the right to disqualify rewards earned through fraudulent, unlawful, or overly aggressive, questionable sales or marketing methods.

The payment of loyalty points only starts once you have earned more than 25 euros. If you do not reach that amount, your savings points will not be paid out.

Identify yourself as a Care by Nature partner

You may not issue any press release regarding this Agreement or your participation in the Program; such action may result in termination of participation in the program.

In addition, you may not misrepresent or embellish the relationship between us in any way. For example, by claiming that you helped develop our products, or by saying that you are part of Care By Nature. Or that you have any relationship or affiliation with any other person or entity, except as expressly permitted by this Agreement.

You may not purchase products through your affiliate link for your own use. Such purchases may result (at our sole discretion) in denial of credits and/or termination of this Agreement.

Payment schedule

If your loyalty points exceed a value of 25 Euro, you will be paid quarterly.

Customer definition

Customers who purchase products through this program will be considered our customers. Therefore, all of our rules, policies and operating procedures regarding customer orders, customer service and product sales apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices charged for products sold under this program in accordance with our own pricing policies. Product prices and availability may vary from time to time. Because price changes may affect products you list on your site, you should not display product prices on your site. We will make commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.

Your responsibilities

You are solely responsible for the development, operation and maintenance of your site and all materials appearing on your site. For example, you are responsible for:

– The technical operation of your site and all related equipment
– Ensuring that the display of special links on your site does not violate any agreement between you and a third party
– The accuracy, truth and appropriateness of materials posted on your site
– Ensure that materials posted on your site do not violate or infringe the rights of any third party (including, copyright, trademark, privacy, or other personal or proprietary rights)
– Ensure that materials posted on your site are not defamatory or otherwise illegal
– Ensure that your site accurately and adequately discloses, whether through a privacy policy or otherwise, how you collect, use and store visitor data

Compliance with laws

As a condition of your participation in the Program, you agree that, while you are a Program Participant, you will comply with all laws, ordinances, regulations, licenses, permits, judgments, decisions or other requirements of the local government in your jurisdiction.

Term of the agreement and program

This agreement will commence upon our acceptance of your request and will be terminated by either party. This Agreement may be terminated at any time, with or without cause, by written notice to the other party. Upon the termination of this agreement for any reason, you will immediately cease use of, and remove from your site, all links to Care By Nature, and all of our trademarks and logos, and all other materials maintained by or on behalf of provided to you by us under the Program. Care By Nature reserves the right to terminate the program at any time. Upon termination of the program, all outstanding value points above 25 Euro will be paid out.

Termination

Care By Nature has the right to suspend, terminate and reject your account for any reason. Such termination of service will result in the deactivation or deletion of your account or your access to your account, and the loss of entitlement to credits if they were earned through fraudulent, unlawful, or overly aggressive, questionable sales or marketing methods. Care By Nature reserves the right to refuse service to anyone for any reason at any time.

Relationship of the parties

You and we are independent contractors, and nothing in this Agreement will create a partnership, joint venture, agency, franchise, or employment relationship between the parties. You have no authority to make or accept any proposals or representations on our behalf. You will not make any statement, whether on your site or otherwise, that would reasonably contradict anything in this section.

Limitations of Liability

We will not be liable for any indirect, special or consequential damages (or any loss of revenue, profits, or data) arising from this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising under this Agreement and the Program will not exceed the total Points paid or payable by you under this Agreement.

Disclaimers

We make no express or implied warranties or representations regarding the Program or the products sold through the Program. In addition, we do not warrant that the operation of the Care By Nature site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Independent research

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL OF ITS TERMS AND CONDITIONS.

YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) ENTER INTO AGREEMENTS WITH PARTNERS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT AND THAT THEY MAY OPERATE SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEBSITE.

YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION OTHER THAN AS SET FORTH IN THIS AGREEMENT.

Arbitration

Any dispute relating to this Agreement, any transactions or activities under this Agreement, or your relationship with us or any of our affiliates will be submitted to confidential arbitration. If you have violated or threatened to violate our intellectual property rights in any way, we can submit this to a competent judicial authority. The arbitrator's award is binding and may be used as part of a lawsuit in a court of competent jurisdiction.

Several

This agreement is subject to Dutch law. You may not assign this Agreement, by operation of law or otherwise, to any other party without our prior written consent. Subject to this limitation, this Agreement will be binding upon the parties and their respective successors and assigns. Failure to enforce your performance to comply with this Agreement shall not constitute a waiver of our right to subsequently enforce this or any other provision.
